Common use of Delegation and Termination Clause in Contracts

Delegation and Termination. (a) The General Partner may contract with any Person to carry out any of the duties of the General Partner, and may delegate to such Person any power and authority of the General Partner, where in the discretion of the General Partner it is in the best interests of the Partnership to do so, but no such contract or delegation will relieve the General Partner of any of its obligations hereunder. In particular, but not so as to limit the generality of the foregoing, the General Partner, shall enter into the following agreements relating to the business and affairs of the Partnership and of the General Partner:
