Common use of Delegation by Board of Managers and Executive Committee Clause in Contracts

Delegation by Board of Managers and Executive Committee. Each of the Board of Managers and the Executive Committee shall have the power and authority to delegate (in the case of the Board of Managers, to the extent such rights and powers have not be delegated to the Executive Committee in accordance with Section 2.1(a) and the Securityholders Agreement) to one or more other Persons its rights and powers to manage and control the business and affairs of the Company, including to delegate to agents and employees of a Member, a Manager or the Company (including Officers), and to delegate by a management agreement or another agreement with, or otherwise to, other Persons. Each of the Board of Managers and the Executive Committee may authorize, to the extent of its rights and powers in accordance with Section 6.1(a), any Person (including any Member, Officer or Manager) to enter into and perform under any document on behalf of the Company. Notwithstanding the foregoing and for the avoidance of doubt, all powers and rights of the Board of Managers which are exercised by the Executive Committee in accordance with Section 6.1(a) may only be delegated by the Executive Committee during the period of its existence.
