Delegation of Directors’ Powers. (a) The Directors may delegate any of their powers to any persons they select for any period, to be exercised for any objects and purposes on any terms and subject to any conditions and restrictions as they think fit, and may revoke, withdraw, alter or vary the delegation of any of those powers. (b) The powers of delegation expressly or impliedly conferred by this constitution on the Directors are conferred in substitution for, and to the exclusion of, the power conferred by section 198D of the Act.

Delegation of Directors’ Powers. Any such delegation may be exercised for any objects and purposes on any terms and made subject to any conditions and restrictions as they think fit, and may revoke, withdraw, alter or vary the delegation of any of those powers.
(b) The powers of delegation expressly or impliedly conferred by this constitution on the Directors are conferred in substitution for, may impose and either collaterally with or to the exclusion ofof their own powers and any such delegation may be revoked or altered by the Directors. Subject to any such conditions, the power conferred proceedings of a committee of Directors shall be governed by section 198D the Articles regulating the proceedings of the ActDirectors, so far as they are capable of applying.
