Common use of Delegation of Powers Clause in Contracts

Delegation of Powers. The Placement Agent shall be entitled to delegate all or any of its duties, functions or powers under this Agreement to another person as sub-agents, subject to the provisions of the 1940 Act. However, the Placement Agent shall be solely responsible for the acts and omissions of any such sub-agent and for the payment of any remuneration to such sub-agent.
