Deletion of Section. 4(d). Section 4(d) of the Purchase Agreement entitled “Right of Participation and First Refusal” shall be and it hereby is deleted in its entirety.
Deletion of Section. 4(c). Section 4(c) of the Warrant is hereby deleted in its entirety.
Deletion of Section. 11.1(H). Effective as of April 30, 1996, Section 11.1(H) of the Loan Agreement is deleted in its entirety.
Deletion of Section. 11.6. Section 11.6 is deleted in its entirety.
Deletion of Section. 7.23. Section 7.23 of the Credit Agreement is hereby deleted in its entirety and replaced with the following:

Deletion of Section. (b) pertaining to an annual fee for unused amounts of the Credit Loan is hereby deleted.
