Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION 7(a) below, (ii) the Buyer will deliver to the Seller the various certificates, instruments and documents referred to in SECTION 7(b) below, (iii) the Seller will deliver to the Buyer stock certificates representing all of the Mercer Shares, endorsed in blank or accompanied by duly executed assignment documents and (iv) the Buyer will deliver to the Seller the consideration specified in SECTION 2(b) above as

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION 7(aSection 6(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments instruments, and documents referred to in SECTION 7(bSection 6(b) below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of the Mercer his or its Company Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to each of the Seller Sellers the consideration specified in SECTION 2(bSection 1(b) above asabove.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION 7(a) Section 9. a. below, (ii) the Buyer will deliver to the Seller the various certificates, instruments instruments, and documents referred to in SECTION 7(b) Section 9. b. below, (iii) the Seller will deliver to the Buyer stock certificates representing all of the Mercer Central Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to the Seller the consideration specified in SECTION 2(b) above asSection 3 below.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION Section 7(a) below, (ii) the Buyer will deliver to the Seller Sellers (as applicable) the various certificates, instruments instruments, and documents referred to in SECTION Section 7(b) below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of the Mercer his RPI Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in SECTION Section 2(b) above asabove.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION Section 7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments instruments, and documents referred to in SECTION Section 7(b) below, (iii) the each Seller will deliver to the Buyer stock certificates representing all Shares held of the Mercer Sharesrecord by such Seller, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in SECTION Section 2(b) above asabove.

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION 7(a) Section 8.1 below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments instruments, and documents referred to in SECTION 7(b) Section 8.2 below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of the Mercer Shareshis MM&S Shares purchased hereunder, endorsed in blank or accompanied by duly executed assignment documents and documents, (iv) the Buyer will deliver to each of the Seller Sellers the cash consideration specified in SECTION 2(bSection 2.1(B) above asabove; and (v) Buyer will deliver to the Escrow Agent the Buyer Shares forming part of the Purchase Price specified in Section 2.1(B) above.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION 7(a) Section 2.3.1, below, (ii) the Buyer will deliver to the Seller the various certificates, instruments instruments, and documents referred to in SECTION 7(b) Section 2.3.2, below, (iii) the Seller will deliver to the Buyer stock certificates representing all of the Mercer Target Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to the Seller the consideration Purchase Consideration required for Closing specified in SECTION 2(b) above asSection 2.2, above.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION section 7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments instruments, and documents referred to in SECTION section 7(b) below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of the Mercer such Seller's Target Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to each Seller the Seller portions of the consideration specified in SECTION 2(bsection 2(b)(i) and (ii) above as.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION 7(aSection 8(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments instruments, and documents referred to in SECTION 7(bSection 8(b) below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of the Mercer his or its WestCoast Shares and Holdings Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to each of the Seller Sellers the consideration Consideration specified in SECTION Section 2(b) above asabove.

At the Closing, (i) the Seller will shall deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION Section 7(a) below, (ii) the Buyer will shall deliver to the Seller the various certificates, instruments instruments, and documents referred to in SECTION Section 7(b) below, (iii) the Seller will shall deliver to the Buyer stock certificates representing all of the Mercer Shares, endorsed in blank or accompanied by duly executed assignment documents and including a medallion guarantee, and (iv) the Buyer will shall deliver to the Seller the consideration specified in SECTION Section 2(b) above asabove.

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION Section 7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments instruments, and documents referred to in SECTION Section 7(b) below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of the Mercer his Company Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to each of the Seller Sellers the consideration specified in SECTION 2(bSection 2(c) above as(as adjusted pursuant to Section 2(d) above).

At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION 7(a) Section 7.01 below, (ii) the Buyer will deliver to the Seller the various certificates, instruments instruments, and documents referred to in SECTION 7(b) Section 7.02 below, (iii) the Seller will deliver to the Buyer stock certificates representing all of the Mercer SharesRapidforms Shares issued and outstanding on the Closing Date, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to the Seller the consideration specified in SECTION 2(b) above asSection 2.02 above.

At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION Section 7(a) below, (ii) the Buyer will deliver to the Seller the various certificates, instruments instruments, and documents referred to in SECTION Section 7(b) below, (iii) the Seller will deliver to the Buyer stock certificates representing all of the Mercer Master Products Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to the Seller the consideration specified in SECTION Section 2(b) above asabove.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in SECTION 7(a7(A) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments instruments, and documents referred to in SECTION 7(b7(B) below, (iii) the Seller Sellers will each deliver to the Buyer stock certificates representing all of the Mercer its Infinity Shares, endorsed in blank or accompanied by duly executed assignment documents documents, and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in SECTION 2(b2(H) above asas may be adjusted after the Closing pursuant to SECTION 2(B) above.
