Common use of Deliveries by Eastern Clause in Contracts

Deliveries by Eastern. At the Closing, Eastern shall ----------- --------------------- deliver or cause to be delivered, all duly and properly executed, authorized and issued (where applicable): (a) Certificates representing the EESI Stock, as provided in Section 1.3 above; (b) A favorable opinion from counsel for Eastern, dated the Closing Date, in the form attached as Schedule 1.6(b); and (c) A copy of resolutions of the directors of Eastern certified by its secretary authorizing the execution and delivery of this Agreement and each other agreement to be executed in connection herewith (collectively, the "Collateral Documents") and the consummation and performance of the transactions contemplated herein and therein.
