Deliveries by PSINet. At the Closing, PSINet shall deliver the following: (a) The certificates representing the IXC Initial Common Shares; (b) A legal opinion of Nixon, Hargrave, Devans & Doylx XXX, counsel to PSINet, as may be reasonably requested by IXC and mutually agreed to by the parties; (c) An Officer's Certificate as may be reasonably requested by IXC and mutually agreed to by the parties; and (d) The executed Registration Rights Agreement contemplated by Section 15.9, above.
