Deliveries by Selling Member. Upon receipt of an Option Member's Note, the Selling Member (or, if applicable, its representatives, successors or assigns) shall deliver to the Option Member an executed assignment of the Option Interest to be acquired by the Option Member, sufficient to convey such interest to the Option Member free and clear of any liabilities, liens, claims or encumbrances, except those taken subject to by the Option Member, as provided below.
Deliveries by Selling Member. Upon receipt of a Purchasing Member’s Note, the Selling Member (or, if applicable, its representatives, successors or assigns) shall deliver to the Purchasing Member an executed assignment of the portion of the Option Interest to be acquired by the Purchasing Member, sufficient to convey such interest to the Purchasing Member free and clear of any liens, claims or encumbrances, except those taken subject to by the Purchasing Member, as provided in Section 8.5.8 below.
Deliveries by Selling Member. Upon receipt of a Purchasing Member’s [***] Confidential treatment requested. Omitted portions have been filed separately with the Securities and Exchange Commission. Note, the Selling Member (or, if applicable, its representatives, successors or assigns) shall deliver to the Purchasing Member an executed assignment of the portion of the Option Interest to be acquired by the Purchasing Member, sufficient to convey such interest to the Purchasing Member free and clear of any liens, claims or encumbrances, except those taken subject to by the Purchasing Member, as provided in Section 8.5.8 below.
