Deliveries by the Selling Stockholder. At the Closing, the Selling Stockholder shall deliver to the Purchaser: (a) a stock certificate or stock certificates representing the Shares being purchased at the Closing, duly endorsed or accompanied by other duly executed instruments of transfer; (b) a countersigned copy of the Registration Rights Agreement; (c) a copy of all resolutions adopted by the Board of Directors of the Selling Stockholder authorizing the sale of the Shares to the Purchaser pursuant to the terms of this Agreement, certified by the Secretary of Selling Stockholder; (d) a letter substantially in the form of Exhibit H executed by the Selling Stockholder and TRG (the "Side Letter").
