Common use of Deliveries of Rollover Investor at Closing Clause in Contracts

Deliveries of Rollover Investor at Closing. At or prior to the Exchange Closing, the Rollover Investor shall deliver to the Partnership: (a) the original certificate(s) representing the Company Shares included in the Contributed Securities, together with a duly executed stock power, or if the Rollover Investor owns uncertificated Company Shares included in the Contributed Securities, the Rollover Investor is deemed to have delivered such uncertificated Company Shares to the Partnership; and (b) a counterpart signature page to the Partnership Agreement, duly executed by the Rollover Investor.
