Common use of Deliveries of the Shareholders Clause in Contracts

Deliveries of the Shareholders. (a) Concurrently herewith, the Shareholders signing this Agreement shall deliver to the Parent this Agreement which shall constitute a duly executed share transfer power for transfer by the Shareholders of its Company Shares to the Parent (which Agreement shall constitute a limited power of attorney in the Parent or any officer thereof to effectuate any Share transfers as may be required under applicable law, including, without limitation, recording such transfer in the share registry maintained by the Company for such purpose) executed by the Shareholders. (b) At the Closing, the Shareholders signing this Agreement shall deliver to the Parent certificates representing its Company Shares.

(b) At the Closing, the Shareholders each Shareholder signing this Agreement shall deliver to the Parent certificates representing his, her, or its Company SharesShares or, should any shares be held in book form, a stock power in form acceptable to Parent effecting the transfer of said shares to Parent.

(b) At or prior to the Closing, the Shareholders signing this Agreement shall deliver to the Parent certificates representing its Company SharesShares along with duly executed medallion guaranteed stock powers for transfer to the Parent.
