Delivery and Distribution. (a) During the term of this Agreement, each of the Systems shall, commencing with each such Systems' first date of carriage of the Service as listed on Exhibit I ("Launch Date"), designate a minimum of one (1) channel --------- on each System for the carriage of the Service prior to the commencement of the delivery of the Service on such System. Affiliate may change, from time to time, the channel designation on which the Service is carried. Effective January 31, 1995, Affiliate agrees to deliver the Service a minimum of eight (8) hours per day during the time period between 8:00 a.m. and 12:00 midnight.
(b) JIN will initially transmit the Service by means of domestic communications satellite GE American Communications C-3, Transponder 20. Effective September 6, 1994, JIN will transmit a digitally compressed signal on the GE American Communications C-3 satellite. JIN will notify Affiliate of any change in satellite not less than ninety (90) days prior to the scheduled change. In the event of any such change, Affiliate agrees to make such arrangements as may be necessary to receive the signal from the new satellite. If JIN delivers the Service to a domestic communications satellite where it reasonably appears that Affiliate will incur expenses for additional receiving equipment other than those associated with receiving a digitally compressed signal that will not be reimbursed by any third party for a particular System to receive the Service, then in that event, Affiliate will be entitled to delete the affected System from Exhibit I of this Agreement within thirty (30) days of receiving notice --------- from JIN of the satellite selected for delivery of the Service, unless JIN agrees to pay its pro rata share (based on number of signals to be received by any System from such new satellite) of the costs associated with the additional receiving equipment. If JIN agrees to pay such costs, then the affected System may not be deleted from Exhibit I and such System shall --------- continue to distribute the Service through the remaining term of this Agreement. JIN and Affiliate shall each use their respective best efforts to maintain a high quality of signal transmission for the Service.
(c) Subject to then existing law, Affiliate shall not itself, and shall not authorize others to, copy, tape or otherwise reproduce any part of the Service without JIN's prior written authorization, and shall take reasonable and practical security measures to prevent the unauthori...
Delivery and Distribution. (a) Initial Delivery. Publisher will timely deliver in accordance with the related Subscriber Delivery Information (i) at least one (1) White Pages and at least one (1) Yellow Pages or (ii) at least one (1) combined White Pages and Yellow Pages to all Subscribers within the Scoped Area covered by the related Primary Directory(s) at no charge to QC or its Subscribers. Subject to Section 3.1(b), Publisher may select the type or medium of delivery of such Primary Directories.
Delivery and Distribution. Suppliers should deliver product to Retailer according to the delivery method requested by the Retailer. Suppliers must provide Retailers credit for unsold and/or damaged merchandise. Suppliers may not distribute non-‐returnable product under any circumstances without the express written consent of the Retailer in a separate Agreement that explicitly outlines the arrangement as it relates to the iControl program.
5.1 The distribution of unauthorized product (as determined exclusively by the Retailer), or Products where the “credit” cost differs from the “invoice” cost is also prohibited. Exceptions will be granted only in cases where the Supplier provides iControl with written authorization from the Category Manager (not the store manager) based at the Retailer’s corporate headquarters.
5.2 Retailers require that products delivered to the stores by Suppliers must bear a valid UPC code that is printed in such a way that it may be scanned using the Retailer’s point-‐of-‐sale barcode reading machines. Products that do not bear pre-‐printed UPC barcodes may not be distributed at the Retailer’s stores; there are no exceptions to the UPC requirement. Retailers reserve the right to request that Suppliers not deliver any products that lack standard UPC-‐A, UPC-‐E, or EAN formatted barcodes. 5.3 Retailers may request Suppliers deliver a certain quantity based on sales history and store inventory levels.

(a) During the term of this Agreement, each of the Systems shall, commencing with each such Systems' first date of carriage of the Service as listed on Exhibit A ("Launch Date"), and subject to compliance with the --------- terms of this Agreement, offer the Service either as part of such System's Basic Service, Expanded Basic Service or on an A La Carte basis. "Basic Service" shall mean the television service package which is received by all of Affiliate's customers in a particular System. "Expanded Basic Service" shall mean the cable television service package which is received by the second greatest number of Affiliate's customers in a particular System and which does not include any "pay services" (e.g., HBO, Cinemax, The Disney Channel). "A La Carte" basis shall mean that the Service is available individually to a Subscriber without any requirement that the Subscriber subscribe to any service or package beyond Basic Service; provided, -------- however, that the Service is also available in any such System as part of a ------- package composed of at least three (3) other satellite delivered services, which additional services are also available for purchase individually by a Subscriber. Affiliate shall designate one (1) channel on each System for the carriage of the Service prior to the commencement of the delivery of the Service on such System. Affiliate may change, from time to time, the channel designation on which the Service is carried; provided, however, -------- ------- that Affiliate shall give G*A*C written notice of the change and the new channel designation at least sixty (60) days prior to the effective date of such change.
Delivery and Distribution. CNI shall produce, acquire and deliver the CNI Overnight Programming and the CNI 24-hour Digital Programming to each Station at CNI's expense using commercially reasonable and industry accepted delivery methods. CNI will provide the CNI Programming to the PAX TV network master control or other master control location specified by PCC, at CNI's expense, in order to permit the inclusion of the CNI Programming in the network feed for delivery to the Stations. For any Station that does not receive a PAX TV or other network feed, CNI shall provide the CNI Programming to such Station via CNI satellite delivery or other industry accepted delivery method at CNI's expense. If the PCC network programming subsequently originates from other network facilities, the CNI Programming shall be provided to that facility by satellite delivery or other industry accepted delivery method at CNI's expense. The Licensee of each Station shall install and maintain at its expense the equipment which is necessary to receive, decode, decompress and distribute standard analog and digital programming on the Station or on the CNI Digital Channel of such Station. The Licensee of each Station shall within five (5) business days of filing any application with the FCC notify CNI in writing of any proposed change in the Station's facilities. The Licensee of each Station shall not change the facilities of such Station in a manner that could materially adversely affect CNI's rights under this Agreement with respect to such Station without CNI's consent. To the extent that CNI prepares local public affairs programming for some or all of the Stations, such Stations shall incorporate this programming into the CNI Programming being broadcast by the Stations at the times selected by CNI, via tape or other insertion method.
Delivery and Distribution. At Seller’s expense Seller will be responsible for distribution of documentation to Nortel’s customers by electronic delivery to Nortel’s documentation repository and website. At Nortel’s request and at no additional charge Seller will deliver Product Documentation as stated above.
Delivery and Distribution a. The Contractor shall deliver orders sorted and packaged as agreed to by the individual school; e.g., boxed by homeroom and alphabetically sorted by student.

Delivery and Distribution. 6.1 Once the Order from Buyer has been received and accepted, Vendor agrees to see that the Product, in stock, is delivered one day before delivery dates per purchase order to Buyer's representative, in Conroe, Texas. Product shipped to the retail stores and not rejected within ten (10) days shall be deemed accepted.
6.2 The Agreements of Buyer with respect to using Vendor for distribution of product contained in Section 2.5 are subject to Vendor fulfilling Buyer's distribution requirements in accordance with its purchase order specification. In the event Vendor fails to deliver Product to Buyer's retail stores pursuant to the requirements and delivery terms of Buyer's purchase orders, and failure remains uncured after ten (10) days written notice from Buyer to Vendor, then Vendor shall be deemed to be in default and Buyer shall free to implement its own distribution or contract with third parties to fulfill its distribution requirements.
