DELIVERY AND FILING OF ARTICLES OF MERGER. The Constituent Corporations will cause the Articles of Merger to be signed, verified and placed in escrow under the control of METALS to be held for filing with the Secretary of State of the State of Delaware and the Secretary of State of the State of Incorporation on the Funding and Consummation Date.

DELIVERY AND FILING OF ARTICLES OF MERGER. The Constituent Corporations will cause the Articles of Merger to be signed, verified and placed in escrow under the control of METALS delivered to Home to be held for filing with the Secretary of State of the State of Delaware and the Secretary of State (or other appropriate authority) of the State or States of Incorporation on or effective as of the Funding and Consummation Date.

The Constituent Corporations will cause the Articles of Merger to be signed, verified and placed in escrow under the control of METALS to be held for filing filed with the Secretary of State of the State of Delaware and the Secretary of State of the State in which the COMPANY is incorporated and will deliver stamped receipt copies of Incorporation each such filing to VPI on or before the Funding and Consummation Closing Date.

The Constituent Corporations will cause the Articles of Merger to be signed, verified and placed in escrow under the control of METALS to be held for filing filed with the Secretary of State of the State of Delaware and the Secretary of State of the State in which each of Incorporation the COMPANIES is incorporated and will deliver stamped receipt copies of each such filing to VPI on or before the Funding and Consummation Closing Date.

The Constituent Corporations will cause the Articles of Merger to be signed, verified and placed in escrow under delivered to Pentacon (to the control attention of METALS Pentacon's in-house counsel) to be held for filing with the Secretary of State of the State of Delaware and the Secretary of State (or other appropriate authority) of the State of Incorporation on or effective as of the Funding and Consummation Date.

The Constituent Corporations will cause the Articles of Merger to be signed, verified and placed in escrow under the control of METALS to be held for filing filed with the Secretary of State of the State of Delaware and the Secretary of State of the State of Incorporation Utah and stamped receipt copies of each such filing to be delivered to CSI on or before the Funding and Consummation Date.
