The DELIVERY AND TESTING clause defines the obligations and procedures related to providing goods or services and verifying that they meet agreed-upon standards. DELIVERY AND TESTING. InfoSpace shall deliver the AOL White Pages meeting the Specifications no later than two weeks following the Effective Date hereof. Such delivered AOL White Pages (the "Delivered Site") shall be subject to acceptance by AOL based on satisfaction of such tests performed and as AOL will reasonably construct in order to determine whether the Delivered Site meets the Specifications. AOL shall perform such tests, and in the event the Delivered Site fails such acceptance testing, AOL will provide InfoSpace with a reasonably detailed written description of such failure within 15 business days of its receipt of the Delivered Site. The Delivered Site will be deemed accepted by AOL if AOL does not timely provide such notice of failure under this Section 3.2. InfoSpace will correct any such failure and submit the AOL White Pages to AOL for re-testing within 10 business days after receipt of AOL's description of testing failure. This process will be repeated until the Delivered Site is accepted in writing by AOL (the date of such acceptance referred to at the "Acceptance Date"). The failure by InfoSpace to deliver the AOL White Pages according to the Specifications and accepted by AOL after three submissions of the Delivered Site under the procedure above may be treated by AOL as a material breach of this Agreement.
DELIVERY AND TESTING. When Company delivers Products to Motorola or its Customers, Company shall provide a written statement listing the items delivered and stating that they are ready for Motorola's Acceptance Testing. Such statement of readiness will be in Company's standard format and may be accomplished via electronic transmission if stated in the Order. Motorola and Company shall develop a joint Acceptance Test Procedure ("ATP") and acceptance criteria, which shall be based on the FATP, and incorporate such ATP herein as Exhibit "C". Such Exhibit "C" shall be jointly approved by Motorola and Company, which approval shall not be unreasonably withheld, including how it will be applied to each such Product delivery. At their sole option, Motorola, with the assistance of Company for a maximum of three (3) Orders placed by Motorola under this Agreement, may examine, install and test the Products in accordance with the ATP prior to shipment to Motorola's Customers to determine whether the Products conform to the applicable Product Order and Exhibit "B" Specifications. Company shall assist Motorola in developing additional test plans as may be required for new customers.
DELIVERY AND TESTING. Argonaut will deliver to Symyx one (1) unit of the Product by the date set forth in the Product Development Plan, as determined by the JDC in writing (the "Prototype"). Following the receipt of the Prototype, Symyx shall evaluate the Prototype for conformity with the Specifications as set forth in Product Development Plan. Within (20) business days after the receipt of the Prototype, Symyx shall provide Argonaut with a written evaluation of the Prototype.
DELIVERY AND TESTING. 4.1 You will deliver the Wool to the Delivery Location on or before the Delivery Due Date. Time will be of the essence in respect of delivery. 4.2 We will accept the Wool under the Contract if: a. You deliver the agreed quantity of Wool stated in the Specifications on or before the Delivery Due Date; b. We approve the Wool by visual assessment; and c. We receive test results from the Testing Agency which confirm that the Wool complies with the specifications. 4.3 We may, at our sole discretion, elect to accept the Wool if: a. You deliver less or more than the agreed quantity of Wool; and/or b. The Wool does not meet the Specifications and/ or is delivered late. 4.4 Within five days of our visual assessment and the receipt of the test results, we will either: a. Confirm our Acceptance of the Wool; or b. If the Wool varies from the Specifications, advise you whether or not we will take any steps outlined in clause 5 “Variation to Specifications”. 4.5 We retain the right to alter our intended end purchaser of the Wool at our sole discretion.
DELIVERY AND TESTING. For the purposes of this Agreement, "Delivery" of a given component of the Exchange Technology shall be met when the Parties agree that the Delivery Criteria for such component have been achieved. The Parties shall test each component of the Exchange Technology as soon as practicable following delivery of such component of the Exchange Technology. Subject to the limitations set forth in Sections 3.1(j) and (k), in the event that any component of the Exchange Technology does not meet the applicable Delivery Criteria, including in a situation in which the Exchange Technology is installed on an agreed upon Minimum Environment, the Parties shall promptly discuss such issue, and shall work in good faith and use reasonable efforts to address any failures. In the event the Parties are unable to correct a failure, or agree on a plan to correct such failure, then such matter will be referred to the Joint Executive Committee for resolution, it being understood that to the extent a Party proceeds with installation of a component of Exchange Technology in an agreed upon Minimum Environment, the other Party cannot, and does not, guarantee the performance of the Exchange Technology.
DELIVERY AND TESTING. Jobatory will deliver the final Site to Client according to the terms specified in an applicable SOW. Upon delivery, Client will have fourteen (14) days (or such other time specified in an applicable SOW) to review and test the Site (“Evaluation Period”). Client shall not make any changes to the Site during the Evaluation Period and shall notify Jobatory of any discrepancies or requested changes. After the Evaluation Period, or at any time once Client has made any changes to the Site, the Site will be deemed accepted, and Jobatory will have no further obligations related to the Site.
