Delivery and Updates. 2.1 (Delivery) PeriData Software GmbH supplies the Customer with a single copy of the Software in machine-readable format. Delivery is also deemed effected if the Customer has obtained a complete copy of the Software in another way, even if this copy was made without data carriers, for example by copying from another computer (e.g. Internet download).
2.2 (Substitute delivery) If the Software in the possession of the Customer is damaged wholly or in part or deleted inadvertently, PeriData Software GmbH shall supply a replacement free of charge.
2.3 (Electronic registration) PeriData Software GmbH transmits the codes to the Customer for the electronic registration of the Software on his system in so far as this is required for use in accordance with the granted license.
2.4 (Update service) PeriData Software GmbH provides the Customer with improved versions of the Software without extra charge for the data carrier.
2.5 (Installation) Unless explicitly stated, the installation of the Software is not covered by the royalty.

Further, Licensor may make available updates and error corrections or updated versions of Licensed Technology (collectively, “Up- dates”) to Licensee. Licensor will under no circumstances be obliged to develop Updates or upgrades of Li- censed Technology or provide any support or maintenance services to Licensee.

From the Effective Date until the Anniversary Date, XOX shall deliver to the Company a written report that completely details any evolution, improvement, modification, correction, enhancement or other change (collectively, "Updates") in or to the Software owned (or co-owned with any other Person) by XOX, XOX development efforts related to Software and the progress of XOX development efforts related to Software (whether or not such efforts or Updates have been incorporated into the Software). Except as set forth in the next succeeding sentence, in the event XOX, either by itself or through any joint venture, partnership, XOX affiliate, development agreement or other arrangement that involves the Conveyed Rights or any part thereof, develops or conceives any Update from the Effective Date until the Anniversary Date which XOX believes may be entitled to patent protection and which is owned by XOX, XOX shall provide to the Company a written description of such Update at least twenty (20) days prior to the date of any act, occurrence or deadline date that would constitute a bar to the patentability of such Update under the laws of the United States or any foreign jurisdiction, so as to allow the Company an opportunity to review such written description following receipt thereof in order to determine whether the Company desires to seek patent protection for the Update. Anything contained in this Agreement to the contrary notwithstanding, (i) any Update created by XOX while performing services as a consultant under contract to any Third-Party (other than the Company) shall not be subject to the rights of the Company, nor shall the Company be entitled to any conveyance thereto by XOX of any interest therein, if such contract provides that XOX shall have no right, title to or interest of any kind in any software, code, Updates or other intellectual property of any kind (including any partnership agreement, joint venture agreement or development agreement of any kind), created by XOX pursuant to such contract, and (ii) XOX shall not enter into any agreement with any Third Party (other than the Company) for the creation or development of any Updates unless such contract either (A) grants to XOX ownership or co-ownership thereof and the right to convey interests therein, including joint ownership, to the Company, or (B) denies XOX any interest, legal or equitable, in such software, code, Updates or other intellectual property as created or developed...

4.3 Notwithstanding the right to terminate this Agreement, Licensor is entitled to suspend Licensee’s access to Updates, if Licensee is in breach of any obligations under the Order or this Agreement.

4.2 Licensor will make available to Licensee updates and error corrections of the Anyline Technology (collectively "Updates") (these will be labelled as "Version 3.1", "Version 3.2" etc.). Installation of such Updates is necessary to use the latest functions of the Anyline Technology. However, Licensee is not required to install such Updates. Licensor is not required to develop Updates of the Anyline Technology or provide any maintenance services.
4.3 Licensor, in the future, may develop new versions of the Anyline Technology (these will be labelled as "Version 3.0", "Version 4.0" etc.) which will be offered to Licensee against payment of a certain license fee.
Delivery and Updates. 4.1 The LICENSER shall provide the LICENSEE with access data (identification and password) to the SOFTWARE immediately after receipt of the LICENCE PAYMENT in accordance with Section 3.1.a, subject to Section 4.2 of this CONTRACT. The SOFTWARE shall be updated by the LICENSER on an ongoing basis without any separate LICENCE PAYMENT being due for this.
4.2 If the right to use certain PROJECT MODULES is included in the scope of the LICENSE, the FEATURES of the ordered PROJECT MODULE are activated in the SOFTWARE during the activation process of the respective real estate project.
4.3 The licensor may develop new versions or additional functionalities of the SOFTWARE in the future, which will be offered to the licensee against payment of a certain license fee.
Delivery and Updates. All Software and parts thereof are licensed in the form already installed on the RVS at the time of delivery. Licensee may only use the Software in order to make the RVS work as intended. Only personnel who are trained and authorized by TOMRA may provide service, installation, maintenance, improvements, or updates on the Software.
