Delivery by the Vendor to the Purchaser. As soon as feasible following the date the special resolution of the Vendor’s members has been passed in accordance with section 16(4) of the Act or on such later date as the Vendor and the Purchaser may agree in writing (the “Delivery Date”), the Vendor shall deliver to the Purchaser: (a) three executed copies of this Agreement; and (b) three certified copies of a special resolution of its members passed in accordance with section 16(4)(a) of the Act.
