Delivery Date Closing Conditions. (a) Conditions Precedent to the Delivery Date Closing. It is agreed that the obligations of each of the Pass Through Trustee, the Owner Trustee, the Owner Participant, the Indenture Trustee, and the Subordination Agent to enter into the transactions to be consummated on the Delivery Date are subject to the satisfaction (or waiver by such party) prior to or on the Delivery Date of the following conditions precedent, except that paragraphs (iii), (v)(5) and (14), (x), (xxi), (xxii) and (xxiv) shall not be a condition precedent to the obligations of the Pass Through Trustee, and paragraphs (iv), (vii)(D), (xiv) and (xxvi) shall not be a condition precedent to the obligation of the Owner Participant:
