Common use of Delivery of and Payment for the Notes Clause in Contracts

Delivery of and Payment for the Notes. (i) Subject to the terms and conditions set forth herein and in the Existing Agreement, delivery of and payment for the April 2007 Notes shall be made at the offices of Wachtell, Lipton, Rosen & Katz, or at such other plxxx xs sxxxx be agreed upon by the New Purchasers and the Company, at 10:00 am (New York time) on the first Business Day following the satisfaction or waiver of all of the conditions set forth in paragraph 6 hereof (other than those conditions that by their nature are to be satisfied or waived on the Amendment No. 5 Closing Date, but subject to the satisfaction or waiver of those conditions), or at such other time and date as shall be agreed upon by the New Purchasers and the Company (such date and time of payment and delivery being referred to herein as the “Amendment No. 5 Closing Date”).

Delivery of and Payment for the Notes. (i) Subject to the terms and conditions set forth herein and in the Existing Agreement, delivery of and payment for the April 2007 January 2008 Notes shall be made at the offices of Wachtell, Lipton, Rosen Rxxxx & KatzKxxx, or at such other plxxx xs sxxxx place as shall be agreed upon by the New Purchasers and the Company, at 10:00 am (New York time) on the first Business Day following the satisfaction or waiver of all of the conditions set forth in paragraph 6 hereof (other than those conditions that by their nature are to be satisfied or waived on the Amendment No. 5 7 Closing Date, but subject to the satisfaction or waiver of those conditions), or at such other time and date as shall be agreed upon by the New Purchasers and the Company (such date and time of payment and delivery being referred to herein as the “Amendment No. 5 7 Closing Date”).
