Common use of Delivery of Assets to Custodian Clause in Contracts

Delivery of Assets to Custodian. (a) Each Fund shall deliver, or cause to be delivered, to the Custodian Assets and cash owned by a Fund and its Subsidiaries, including all payments of income, payments of principal and capital distributions received by a Fund and its Subsidiaries with respect to such Assets or cash at any time during the period of this Agreement. Except to the extent otherwise expressly provided herein, a Fund shall cause delivery of Assets to the Custodian to be made against receipt of payment therefor, and in the name of the Custodian as custodian for the benefit of a particular Fund or Subsidiary, Street Name or other good delivery form. The Custodian shall not be responsible for such Assets or cash until actually delivered to, and received by the Custodian. The Custodian, unless it agrees otherwise in writing, shall have no duty to hold for the account of a Fund or its Subsidiaries any Asset other than Loans and cash delivered to the Custodian. Each Company on behalf of a Fund agrees that neither a Fund nor any Subsidiary will deliver Assets other than Loans and cash to the Custodian without the Custodian’s consent. The Custodian shall maintain records of all locations of the Required Loan Documents and a current inventory of such Required Loan Documents.
