Common use of Delivery of Certificated Securities Collateral Clause in Contracts

Delivery of Certificated Securities Collateral. All certificates, agreements or instruments representing or evidencing the Securities Collateral in existence on the Closing Date (other than those evidencing Excluded Equity Interests), have been delivered to the Administrative Agent in suitable form for transfer by delivery or accompanied by duly executed instruments of transfer or assignment in blank and the Administrative Agent has a perfected first priority security interest therein.

Delivery of Certificated Securities Collateral. All certificates, agreements or instruments representing or evidencing the Securities Collateral in existence on the Closing Date (other than those evidencing Excluded Equity Interests), date hereof have been delivered to the First Lien Administrative Agent, subject to the Intercreditor Agreement, or the Administrative Agent in suitable form for transfer by delivery or accompanied by duly executed instruments of transfer or assignment in blank blank, and the Administrative Agent has a perfected first second priority security interest therein.
