Common use of Delivery of Comfort Letter Clause in Contracts

Delivery of Comfort Letter. The Underwriters shall have received at the Closing Time a letter dated the Closing Date, in form and substance satisfactory to the Underwriters, addressed to the Underwriters and the directors of the Corporation from Wolrige Xxxxx LLP, confirming the continued accuracy of the comfort letter to be delivered to the Underwriters pursuant to Section 4(1)(c) with such changes as may be necessary to bring the information in such letter forward to a date not more than two Business Days prior to the Closing Date, which changes shall be acceptable to the Underwriters.

Delivery of Comfort Letter. The Underwriters shall have received at the Closing Time a letter dated the Closing Date, in form and substance satisfactory to the Underwriters, addressed to the Underwriters and the directors of the Corporation from Wolrige Xxxxx KPMG LLP, confirming the continued accuracy of the comfort letter to be delivered to the Underwriters pursuant to Section 4(1)(cparagraph 4(e) with such changes as may be necessary to bring the information in such letter forward to a date not more than two Business Days prior to the Closing Date, which changes shall be acceptable to the Underwriters.

The Underwriters (i) the Underwriter shall have received at the Closing Time a letter dated the Closing Date, in form and substance satisfactory to the UnderwritersUnderwriter, acting reasonably, addressed to the Underwriters and the directors of the Corporation Underwriter from Wolrige Xxxxx LLP, Ernst & Young LLP confirming the continued accuracy of the comfort letter to be delivered to the Underwriters Underwriter pursuant to Section 4(1)(c4(a)(viii) with such changes as may be necessary to bring the information in such letter forward to a date not more than two Business Days prior to the Closing Date, which changes shall be acceptable to the Underwriters.Underwriter acting reasonably;

Delivery of Comfort Letter. The Underwriters shall have received at the Closing Time a letter dated the Closing Date, in form and substance satisfactory to the Underwriters, addressed to the Underwriters and the directors of the Corporation from Wolrige Xxxxx PricewaterhouseCoopers LLP, confirming the continued accuracy of the comfort letter to be delivered to the Underwriters pursuant to Section 4(1)(c5(a)(iv) with such changes as may be necessary to bring the information in such letter forward to a date not more than two Business Days prior to the Closing Date, which provided such changes shall be are acceptable to the Underwriters, acting reasonably.
