Common use of Delivery of Documents and Records Clause in Contracts

Delivery of Documents and Records. To the extent not previously delivered or made available to Buyer, Seller shall deliver to Buyer, or provide Buyer with access to, copies of the Due Diligence Materials as to each Property within five (5) days after the Effective Date. Except as specifically set forth in Addendum II to this Agreement, Seller makes no representations or warranties as to the truth, accuracy or completeness of any materials, data or other information supplied to Buyer in connection with Buyer’s inspection of the Properties (e.g., that such materials are complete, accurate, or the final version thereof, or that all such materials are in the Seller’s possession). It is the Parties’ express understanding and agreement that such materials are provided only for Buyer’s convenience in making its own examination and determination prior to the end of the Due Diligence Period, as to whether or not it wishes to purchase the Properties. Buyer shall rely exclusively on its own independent investigation and evaluation of every aspect of the Properties and, except as expressly set forth in this Agreement, not on any information or materials supplied by Seller. Except as expressly set forth in this Agreement, Buyer expressly disclaims any intent to rely on any such information or materials provided to it by Seller in connection with its own inspections and agrees that it shall rely solely on its own independently developed or verified information.

Delivery of Documents and Records. To the extent not previously delivered or made available to Buyer, Seller shall deliver to Buyer, or provide Buyer with access to, copies acknowledges receipt of the Due Diligence Materials as to each Property within five Materials, except for the information contained on Schedules 2 and II.E.1, which shall be provided by Transferors not later than fifteen (515) business days after the Effective Date. Except as specifically set forth herein or in Addendum II to this Agreementany closing documents delivered by Transferors hereunder, Seller makes Transferors make no representations or warranties as to the truth, accuracy or completeness of any materials, data or other information supplied to Buyer in connection with Buyer’s 's inspection of the Properties Property (e.g., that such materials are complete, accurate, or the final version thereof, or that all such materials are in the Seller’s Transferors' possession). It is the Parties’ parties' express understanding and agreement that such materials are provided only for Buyer’s 's convenience in making its own examination and determination determinations regarding the Properties prior to the end of the Due Diligence PeriodApproval Date, as to whether or not it wishes to purchase the Properties. and, in doing so, Buyer shall rely exclusively on its own independent investigation and evaluation of every aspect of the Properties and, except as expressly set forth in this Agreement, Property and not on any information or materials supplied by SellerTransferors except for the express representations and warranties of Transferors contained herein or in any closing documents delivered by Transferors hereunder. Except as expressly set forth in this Agreement, Buyer expressly disclaims any intent to rely on any such information or materials provided to it by Seller Transferors in connection with its own inspections and agrees that it shall rely solely on its own independently developed or verified informationinformation except for the express representations and warranties of Transferors contained herein or in any closing documents delivered by Transferors hereunder.
