Delivery of Documents; Corporate Records. The Company has ---------------------------------------- heretofore delivered to the Buyer Group true, correct and complete copies of all documents, instruments, agreements and records referred to in this Article 4 or in the Schedules to this Agreement and copies of the minute and stock record books of the Company. The minute and stock record books of the Company contain true, correct and complete copies of the records of all meetings and consents in lieu of a meeting of the Board of Directors (and all committees thereof) and the stockholders of the Company since the date of its incorporation.
