Delivery of Documents to Effectuate Transfer. Each Non-Selling Member participating in the Transfer shall effect its participation in the Transfer by promptly delivering to the Selling Members Representative such instruments, in form and substance satisfactory to the Selling Members Representative, as the Selling Members Representative may deem necessary or desirable to effect the Transfer specified in the Co-Sale Notice.
