Delivery of Information for Rule 144A Transactions. If Investor proposes to transfer any Shares or Underlying Shares pursuant to Rule 144A under the Securities Act (as in effect from time to time), HI agrees to provide (upon the request of Investor or the prospective transferee) to Investor and (if requested) to the prospective transferee any financial or other information concerning HI which is required to be delivered by such holder to any transferee of such Shares or Underlying Shares pursuant to such Rule 144A.
