DELIVERY OF LEGAL FILES AND RECEIVABLE FILES. (a) On or prior to the Closing Date in the case of the Initial Receivables, and on or prior to the third Business Day immediately preceding the related Subsequent Transfer Date in the case of the Subsequent Receivables, the Transferor shall transfer and deliver to the Custodian at the offices specified in Schedule B to this Agreement the Legal Files with respect to each applicable Receivable.
