Common use of Delivery of Organizational Documents Clause in Contracts

Delivery of Organizational Documents. On or before the Closing Date, Borrower shall deliver or cause to be delivered to Lender copies certified by Borrower of all organizational documentation related to Borrower and/or the formation, structure, existence, good standing and/or qualification to do business, as Lender may request in its sole discretion, including, without limitation, good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.

Delivery of Organizational Documents. On or before the Closing Date, Borrower shall deliver or cause to be delivered to Lender copies certified by Borrower of all organizational documentation related to Borrower and/or the formation, structure, existence, good standing and/or qualification to do business, as Lender may request in its sole discretion, including, without limitation, amendments (as requested by Lender), good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.

On or before the Closing Date, Borrower Borrowers shall deliver or cause to be delivered to Lender copies certified by an officer of the managing member of each Borrower and/or Operating Lessee of all organizational documentation related to such Borrower and/or Operating Lessee and/or the formation, structure, existence, good standing and/or qualification to do business, business as Lender may request in its sole reasonable discretion, including, without limitation, including good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.

On or before the Closing Date, Borrower shall deliver or cause to be delivered to Lender copies certified by an officer of the sole member of the Borrower of all organizational documentation related to the Borrower and/or the formation, structure, existence, good standing and/or qualification to do business, business as Lender may request in its sole reasonable discretion, including, without limitation, including good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.

On or before the Closing Date, Borrower Borrowers shall deliver or cause to be delivered to Lender copies certified by Borrower each of the respective Borrowers of all organizational documentation related to such Borrower and/or the its formation, structure, existence, good standing and/or qualification to do business, as Lender may request in its sole discretion, including, without limitation, good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lendercertificates.

On or before the Closing Date, Borrower shall deliver or cause to be delivered to Lender (i) copies certified by Borrower of all organizational documentation related to each Individual Borrower and/or the formation, structure, existence, good standing and/or qualification to do business, as Lender may request in its sole reasonable discretion, including, without limitation, including good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.

On or before the Closing Date, the Borrower shall deliver or cause to be delivered to Lender copies (i) copies, certified by the Borrower of all organizational documentation related to Borrower and/or the formationBorrower, structure, existence, (ii) original counterparts of good standing and/or qualification of Borrower to do business, and such other certificates as the Lender may request in its sole discretionreasonably request, including, without limitation, good standing certificates, qualifications to do business in each issued by the appropriate jurisdictions, Governmental Authority and (iii) corporate resolutions and incumbency certifications authorizing the entering into applicable officer of the Borrower to obtain the Loan and incumbency certificates as may be requested by Lenderto enter into the Loan Documents.
