Common use of Delivery of Organizational Documents Clause in Contracts

Delivery of Organizational Documents. On or before the Closing Date, Borrower or Grantor, as applicable, shall deliver or cause to be delivered to Lender copies certified by Borrower or Grantor, as applicable, of all organizational documentation related to Borrower or Grantor and/or the formation, structure, existence, good standing and/or qualification to do business, as Lender may request in its sole discretion, including, without limitation, good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.

Delivery of Organizational Documents. On or before the Closing Date, Borrower or Grantorshall deliver, as applicable, shall deliver or cause to be delivered delivered, to Lender copies certified by Borrower or Grantor, as applicablean Officer’s Certificate, of all organizational documentation related to Borrower or Grantor and Guarantor as have been requested by Lender and/or the formation, structure, existence, good standing and/or qualification to do businessbusiness of Borrower and Guarantor, as Lender may request in its sole discretion, including, without limitation, good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.

On or before the Closing Date, each of Borrower or Grantor, as applicable, and Indemnitor shall deliver or cause to be delivered to Lender copies certified by Borrower or Grantor, Indemnitor (as applicable, ) of all organizational documentation related to Borrower or Grantor and Indemnitor and/or the formation, structure, existence, good standing and/or qualification to do business, as Lender may request in its sole discretion, including, without limitation, good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.

On or before the Closing Date, Borrower or Grantor, as applicable, Borrowers shall deliver or cause to be delivered to Lender (i) copies certified by each Borrower or Grantor, as applicable, and Guarantor of all organizational documentation related to such Borrower or Grantor Guarantor and/or the formation, structure, existence, good standing and/or qualification to do businessbusiness of such Borrower or Guarantor, as Lender may request in its sole reasonable discretion, including, without limitation, including good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Lender.
