Common use of Delivery of Organizational Documents Clause in Contracts

Delivery of Organizational Documents. On or before the Closing Date, Mezzanine Borrower shall deliver, or cause to be delivered, to Mezzanine Lender copies certified by an Officer's Certificate, of all organizational documentation related to Mortgage Borrower, Affiliate Tenant, Mezzanine Borrower, Guarantor, General Partner, Borrower Parents, and certain of their Affiliates as have been requested by Mezzanine Lender and/or the formation, structure, existence, good standing and/or qualification to do business of Mortgage Borrower, Affiliate Tenant, Mezzanine Borrower, Guarantor, Borrower Parents, Borrower Subsidiary, and such Affiliates, as Mezzanine Lender may request in its sole discretion, including, without limitation, good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Mezzanine Lender. Each of the organizational documents of any Single Purpose Entity shall contain provisions having a substantive effect materially similar to that of the language set forth in EXHIBIT C. Mezzanine Lender hereby approves the organizational documents delivered to Mezzanine Borrower pursuant to this Section 2.5.4.

Each of the organizational documents of any Single Purpose SPE Entity shall contain provisions having a substantive effect materially similar to that of the language set forth in EXHIBIT C. Exhibit C or such other language as approved by Lender. Mezzanine Lender hereby approves the organizational documents delivered to Mezzanine Borrower pursuant to this Section 2.5.4.

On or before As of the Closing Datedate hereof, Mezzanine Borrower shall deliverdeliver to GACC and JPMC all of the following: copies, or cause to be delivered, to Mezzanine Lender copies certified by an Officer's ’s Certificate, of all organizational documentation related to Mezzanine Borrower, Sponsor, each SPE Entity, each Guarantor, Master Lessee, Mortgage Borrower, Affiliate Tenant, Senior Mezzanine Borrower, Guarantor, General Partner, Borrower ParentsBorrowers, and certain of their Affiliates the Junior Mezzanine Borrowers as have been requested by Mezzanine Lender and/or the formation, structure, existence, good standing and/or qualification to do business of Mezzanine Borrower, Sponsor, each SPE Entity, each Guarantor, Master Lessee, Mortgage Borrower, Affiliate Tenant, Senior Mezzanine Borrower, Guarantor, Borrower Parents, Borrower SubsidiaryBorrowers, and such Affiliates, the Junior Mezzanine Borrowers as Mezzanine Lender may request in its sole discretion, including, without limitation, good standing certificates, qualifications to do business in the appropriate jurisdictions, resolutions authorizing the entering into of the Loan and incumbency certificates as may be requested by Mezzanine Lender.
