Delivery of Possessory Collateral. (a) The Security Provider has delivered to the Collateral Agent (or as directed by the Collateral Agent) the originals of all Possessory Collateral existing on the date of this Agreement. (b) The Security Provider must deliver to the Collateral Agent (or as directed by the Collateral Agent), immediately upon receipt, originals of any other Possessory Collateral arising or acquired by the Security Provider after the date of this Agreement. (c) All Possessory Collateral delivered under this Agreement will be either: (i) duly endorsed and in suitable form for transfer by delivery; or (ii) accompanied by undated instruments of transfer endorsed in blank, as directed by the Collateral Agent, and in form and substance satisfactory to the Collateral Agent. (d) Until the end of the Security Period, the Collateral Agent will hold (directly or through an agent) all Possessory Collateral and related instruments of transfer delivered to it.
