Delivery of Powers of Attorney and Other Documents. Parent and SpinCo shall execute and deliver to the other Party, promptly upon request, powers of attorney authorizing such other Party to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that Parent or SpinCo, as applicable, reasonably considers to be appropriate in exercising its control rights pursuant to Section 6.2, and any other documents reasonably necessary thereto to effect the exercise of such control rights.

Marketing shall execute and deliver to Realty, promptly upon request, powers of attorney authorizing Realty to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that Realty reasonably considers to be appropriate in exercising its control rights pursuant to Section 6(b), and any other documents reasonably necessary to effect the exercising of such control rights.

Demand Media and Rightside shall execute and deliver to the other party, promptly upon request, powers of attorney authorizing such other party to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that Demand Media or Rightside, as applicable, reasonably considers to be appropriate in exercising its control rights pursuant to Section 6.2, and any other documents reasonably necessary thereto to effect the exercise of such control rights.

Integra and Spinco shall execute and deliver to the other party, promptly upon request, powers of attorney authorizing such other party to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that Integra or Spinco, as applicable, reasonably considers to be appropriate in exercising its control rights pursuant to Section 6.2, and any other documents reasonably necessary thereto to effect the exercise of such control rights.

Crestline shall -------------------------------------------------- execute and deliver to Host Marriott, promptly upon request, powers of attorney authorizing Host Marriott to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that are reasonably appropriate in the exercise of Host Marriott's control rights pursuant to Section 6(b), and any other documents reasonably necessary to effect the exercising of such control rights, consistent with Crestline's rights of consultation and consent as set forth in Section 6(b).

Questar and QEP shall execute and deliver to the other party, promptly upon request, powers of attorney authorizing such other party to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that Questar or QEP, as applicable, reasonably considers to be appropriate in exercising its control rights pursuant to Section 6.2, and any other documents reasonably necessary thereto to effect the exercise of such control rights.

Realty shall execute and deliver to Culbro, promptly upon request, powers of attorney authorizing Culbro to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that Culbro reasonably considers to be appropriate in exercising its control rights pursuant to Section 6(b), and any other documents reasonably necessary to effect the exercising of such control rights.

Services shall execute and deliver to Host Marriott, promptly upon request, powers of attorney authorizing Host Marriott to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that Host Marriott reasonably considers to be appropriate in exercising its control rights pursuant to Section 6(b), and any other documents reasonably necessary to effect the exercising of such control rights.

Each party shall execute and deliver to a Filing Party, promptly upon request, powers of attorney authorizing the Filing Party to extend statutes of limitations, receive refunds, negotiate settlements and take such other actions that are reasonably appropriate in the exercise of the Filing Party's control rights pursuant to Section 6(b), and any other documents reasonably necessary to effect the exercising of such control rights, consistent with the Other Party's rights of consultation and consent as set forth in Section 6(b).
