Common use of Delivery of SEC Filings Clause in Contracts

Delivery of SEC Filings. Parent shall promptly deliver to the Company or to the Company's counsel a copy of all filings of the Parent SEC Reports with the SEC, from the date hereof to the Effective Time, or any other document which Parent deems to be appropriate for provision to the Stockholders. Upon delivery of any such document by Parent to the Company, the Company shall promptly deliver to each holder of capital stock of the Company a copy of such document, including all exhibits thereto, and an officer of the Company shall promptly provide to Parent an affidavit of delivery of such copies.

Upon delivery of any such document by Parent to the Target Company, the such Target Company shall promptly deliver to each holder of capital stock of the such Company a copy of such document, including all exhibits thereto, and an officer of the such Company shall promptly provide to Parent an affidavit of delivery of such copies.
