Delivery of Shares; Other Documents. At the time of the Share Issuance, SPAC shall issue or cause to be issued the Promote Shares to Investor in book-entry form through the transfer agent for the Promote Shares or in such other manner as SPAC and Investor shall agree prior to the Share Issuance. The parties to this Agreement agree to execute, acknowledge and deliver such further instruments and to do all such other acts, as may be necessary or appropriate to carry out the purposes and intent of this Agreement.
