Delivery of Shares; Other Documents. At the time of the issue of Promised Securities hereunder, WTMA and the Sponsor shall cause MergeCo to deliver the Promised Securities to Director in book-entry form effected through MergeCo’s register of members (or other equivalent register) and through WTMA’s transfer agent. The parties to this Agreement agree to execute, acknowledge and deliver such further instruments and to do all such other acts, as may be necessary or appropriate to carry out the purposes and intent of this Agreement.
