Delivery of Shares to Agent. Corning shall deliver to Xxxxxx Trust and Savings Bank (the "Agent") the share certificates representing the CCL Common Stock and CCL shall deliver to the Agent the share certificates representing the Covance Common Stock and Corning and CCL shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, such common stock to the Corning Record Holders and the CCL Record Holders, as the case may be, as further contemplated by the Information Statement and herein. CCL and Covance shall provide all share certificates that the Agent shall require in order to effect the Distributions.
Delivery of Shares to Agent. IMS shall deliver to the Agent the share certificates representing the ST Common Shares issued to IMS by ST pursuant to Section 2.1(b) which are to be distributed to the holders of IMS Common Stock in the Distribution and shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, certificates representing such ST Common Shares to holders of record of shares of IMS Common Stock on the Distribution Record Date as further contemplated by the Information Statement and herein. ST shall provide all share certificates that the Agent shall require in order to effect the Distribution.
Delivery of Shares to Agent. The Corporation shall deliver to the Agent the share certificates representing the IMS HEALTH Common Shares issued to the Corporation by IMS HEALTH pursuant to Section 2.1(b) which are to be distributed to the holders of Cognizant Common Stock in the Distribution and shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, certificates representing such IMS HEALTH Common Shares to holders of record of shares of Cognizant Common Stock on the Distribution Record Date as further contemplated by the Information Statement and herein. IMS HEALTH shall provide all share certificates that the Agent shall require in order to effect the Distribution.
Delivery of Shares to Agent. The Corporation shall deliver to the Agent the share certificates representing the New Ceridian Common Shares issued to the Corporation by New Ceridian pursuant to Section 2.1(b), endorsed in blank, and shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, to each holder of record of Ceridian Common Stock on the Distribution Record Date a certificate or certificates representing one share of New Ceridian Common Stock for each share of Ceridian Common Stock so held. New Ceridian shall provide all share certificates that the Agent shall require in order to effect the Distribution.
Delivery of Shares to Agent. D&B shall deliver to the Agent the share certificates representing the Cognizant Common Shares and the ACNielsen Common Shares issued to D&B by Cognizant and ACNielsen, respectively, pursuant to Section 2.1(b) and shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, such Common Shares to holders of record of shares of D&B Common Stock on the Distribution Record Date as further contemplated by the Information Statement and herein. Cognizant and ACNielsen shall provide all share certificates that the Agent shall require in order to effect the Distribution.
Delivery of Shares to Agent. The Corporation shall deliver to the Agent the share certificates representing the New D&B Common Shares issued to the Corporation by New D&B pursuant to Section 2.1(b) and shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, certificates representing such Common Shares to holders of record of shares of D&B Common Stock on the Distribution Record Date as further

At or prior to the Effective Time, BEI shall deliver to the Agent the share certificate or certificates representing the Technologies Common Shares issued to BEI by Technologies, pursuant to Section 2.1(b) and shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, such Common Shares to holders of record of shares of BEI Common Stock on the Distribution Record Date as further contemplated by, and subject to the conditions contained in, the Information Statement and this Agreement. Technologies shall provide all share certificates that the Agent shall require in order to effect the Distribution.
Delivery of Shares to Agent. Following consummation of the transactions contemplated by Section 2.01 and subject to the closing conditions set forth in Article VIII the Company shall deliver to the Agent, for the benefit of holders of record of the Company Common Stock as at the close of business on the Distribution Record Date, the share certificates representing (i) all the Printco Common Shares, (ii) all the Schoolco Common Shares, (iii) all the Techco Common Shares and (iv) all the Travelco Common Shares, and shall instruct the Agent to distribute such share certificates to such holders of the Company Common Stock upon notice from the Company that the conditions to the obligation of the Company to consummate the Distributions have been satisfied or waived and that the Agent is authorized to proceed with the distribution of the Distribution Shares. Immediately following the Distributions, the Company shall not own any capital stock of the Distributed Companies or the Distributed Company Subsidiaries.
Delivery of Shares to Agent. The Corporation shall deliver to EquiServe Trust Company, as the distribution agent (the "Agent"), the share certificates representing the New D&B Common Stock issued to the Corporation by New D&B and shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, certificates representing such Common Shares to holders of record of shares of D&B Common Stock on the Distribution Record Date as further contemplated by the Information Statement and herein. New D&B shall provide all share certificates that the Agent shall require in order to effect the Distribution.

At or prior to the Effective Time, Olin shall deliver to the Agent the share certificate or certificates representing the Primex Common Shares issued to Olin by Primex, pursuant to Section 2.01(b) and shall instruct the Agent to distribute, on or as soon as practicable following the Distribution Date, such Common Shares to holders of record of shares of Olin Common Stock on the Distribution Record Date as further contemplated by, and subject to the conditions contained in, the Information Statement and this Agreement. Primex shall provide all share certificates that the Agent shall require in order to effect the Distribution.
