Common use of Delivery of the Exchange Shares Clause in Contracts

Delivery of the Exchange Shares. The Stock Certificates representing the Exchange Shares shall be delivered by Parent (which, at Parent’s convenience, may be delivered within 3 Business Days after the Closing Date) to the Sellers at its address for notices in accordance with Section 13.1. The Stock Certificates shall bear the legend set forth on Schedule 2.3. No certificates or scrip representing fractional shares of the Exchange Shares will be issued, and such fractional share interests will not entitle the owner thereof to vote or to any rights of a stockholder of Parent. Any fractional shares will be rounded to the nearest whole share.
