Delivery of the Purchased Shares and Note. On or promptly after the Closing Date (as hereinafter defined) (i) a certificate evidencing the Purchased Shares registered in the name of Purchaser shall be executed, issued and delivered to Purchaser by the Company, and (ii) a promissory note in the form attached hereto as Exhibit A shall be executed, issued and delivered to the Purchaser by the Company.
