Common use of Delivery of the Registration Statement Clause in Contracts

Delivery of the Registration Statement. The Company will furnish to the Dealer(s) and to counsel for the Dealer(s), upon request, without charge, one conformed copy of the Registration Statement as originally filed and of each amendment thereto (including exhibits filed therewith or incorporated by reference therein and documents incorporated or deemed to be incorporated by reference therein) and copies of all consents and certificates of experts. The Registration Statement and each amendment thereto furnished to a Dealer will be identical in all material respects to any electronically transmitted copies thereof filed with the Commission `pursuant to XXXXX, except to the extent permitted by Regulation S-T.
