DELIVERY PRIOR TO SCHEDULED SALE DATE. The parties agree that consummation of the sale of a Portfolio of Eligible Loans may occur prior to the dates set forth above at the discretion of the Seller; provided, however, that the requirements of Section 4.1 shall be met in connection with such sale; and provided further, that the sale of the Portfolios of Eligible Loans shall be consummated no later than the dates set forth above. The aggregate Principal Balance of any Eligible Loans sold by Seller to Purchaser pursuant to this Agreement or otherwise prior to any of the Schedule Sale Dates shall correspondingly reduce the Seller's commitment on successive Scheduled Sale Dates.
