Common use of DELIVERY TO COMPANY Clause in Contracts

DELIVERY TO COMPANY. W&R shall promptly provide Company (or its designee), or cause Company (or its designee) to be provided with: (1) a camera-ready copy of the Portfolios’ prospectus and any supplements, for use by Company in producing a combined prospectus for each Contract incorporating both the Contract prospectus and the Portfolios’ prospectus; (2) a Portable document Format (“.pdf”) version of the Portfolios’ SAI and any supplements; (3) periodic reports required under the 1940 Act (“Periodic Reports”) in such quantity as Company shall reasonably require for distribution to Contract Owners, or in lieu thereof, a .pdf version of Periodic Reports; and (4) copies of any Portfolio proxy materials in such quantity as Company shall reasonably require for distribution to Contract Owners. For purposes of clarity, see Schedule A, paragraph F, attached hereto, which outlines each parties’ responsibility with respect to this Section. (5) In the event that Company desires to utilize summary prospectuses, Company shall promptly notify W&R and at such time, the parties agree to abide by Exhibit E with respect to the use and delivery of summary prospectuses.
