Delivery to Distribution Agent. Subject to Section 4.3, on or prior to the Distribution Date CRG will deliver to American Stock Transfer & Trust Company, as distribution agent (the “Distribution Agent”), for the benefit of holders of record of CRG Common Stock at the close of business on the Record Date (the “Record Holders”) a stock certificate representing (or authorize the related book-entry transfer of) all outstanding shares of Fiesta Common Stock and will order the Distribution Agent to effect the Distribution at the Distribution Time in the manner set forth in Section 4.2.
