Delphi Technologies Liability. Delphi Technologies shall be liable for, and shall indemnify and hold harmless the Aptiv Group from and against any liability for: (i) Taxes which are allocated to Delphi Technologies under this Section 2; (ii) any Tax resulting from a breach of any of Delphi Technologies’ covenants in this Agreement, the Separation Agreement or any Ancillary Agreement; and (iii) any Specified Separation Taxes and Tax-Related Losses that are allocated to Delphi Technologies under Section 6.04(a) of this Agreement.
