Demonstration Products. Each party shall develop demonstration versions of its products for use in selling its products to the other party's customers and prospects.

Demonstration Products. Subject to the restrictions and covenants set forth in this Agreement, Licensor may bundle for distribution Demonstration Products with other Licensor's products or third party products; provided, however, that Licensor in no event may bundle Demonstration Products with third party products that are competitive with any of Creative's products; and PROVIDED, FURTHER, that Licensor notify Creative of any and all bundling arrangements prior to concluding such arrangements.
Demonstration Products. STERLING COMMERCE will provide Company with a ---------------------- master demonstration copy of the EC Products as STERLING COMMERCE deems appropriate for Company to market the EC Products within the Territory (the "Demonstration Products"). STERLING COMMERCE grants Company a non-exclusive and non-transferable license to use the Demonstration Products exclusively to conduct customer demonstrations, training and technical support. Company will not copy, sublicense, assign or otherwise transfer the Demonstration Products to or for the benefit of any Prospective Customer(s) except pursuant to an evaluation form of Company Contract. Such evaluation period shall not exceed a period of more than sixty (60) days unless first approved by STERLING COMMERCE.
Demonstration Products. Company1 will provide Company2 with a reasonable number of copies or units of demonstration products, at no cost to Company2, which may be used solely for demonstrations to Sales Targets or Company2 employees.
Demonstration Products. 14.1 In the event that Supplier provides Reseller with Products for mar- keting or demonstration (“Demonstration Products”), such Demonstra- tion Products (i) are restricted for use only by the Reseller and shall not be transferred to any third party; and (ii) may be used only for demonstration and marketing to, and internal evaluation purposes of End Users. 14.2 Demonstration Product licenses are non-exclusive, non-transfera- ble, and limited to the number of copies specified in an Order. 14.3 Unless otherwise agreed by the Parties in writing, Demonstration Products receive the following limited support services from Supplier: (i) updates and patches of the Demonstration Products when such up- dates and patches are made generally available by Supplier; and (ii) help-desk assistance.

Demonstration Products. During the Development Period, GBI shall manufacture quantities of clinical test grade Products for use as demonstration Products (a "Demonstration Product") by ATS. The Development Plan shall set forth the dates when Demonstration Products shall be available to be delivered to ATS for testing. Shipments of Demonstration Products shall contain detailed Preliminary Specifications for the Products.

Demonstration Products. At all times during the term of this Agreement, Hardinge will maintain appropriate and commercially reasonable numbers of demonstration Products, Accessories and Spares necessary to support a marketing and sales effort for the Products, Accessories and Spares that is at least as active as that Hardinge employs in respect of its own products.
Demonstration Products. Distributor may purchase reasonable ---------------------- quantities of Development Products or OEM Products (other than those Products identified in Exhibit A as "not available for demonstration"), to be used solely for demonstration purposes, at a Thirty-Three Percent (33%) discount off the Distributor Price set forth in Exhibit A. Upon request, Echelon may, in it sole determination of Distributor's demonstration capabilities, provide Distributor at no charge with one (1) copy of any Software Product (other than those Software Products identified in Exhibit A as "not available for demonstration"), to be used solely for demonstration purposes. Distributor certifies that Products purchased or provided on this basis ("Demonstration Products") shall be used exclusively for demonstration and/or troubleshooting purposes and shall in no event be resold by Distributor. Distributor agrees to have available during the term of this Agreement the Demonstration Products set forth on Exhibit E hereto. Distributor shall have the right to use and lend Demonstration Products pursuant to Section 17(c) below.
Demonstration Products i) Right to Use and Lend. Distributor shall have the right to use --------------------- any Demonstration Products acquired from Echelon pursuant to Section 8 (b) above for (i) demonstrations at Distributor's facility and (ii) trouble shooting of customer systems. Distributor shall also have the right to loan such Demonstration Products to prospective customers for evaluation purposes; provided, that Distributor furnishes Echelon with an original copy of Echelon's Evaluation Agreement signed by the prospective customer. The Evaluation Agreement shall be either (i) in substantially the form attached hereto as Exhibit F (with a ten (10) business day evaluation period) or (ii) in substantially the form as furnished by Echelon (if Echelon in its sole discretion elects to approve any request for a different evaluation period). Distributor shall (i) use best efforts to ensure that the prospective customer performs its obligation at the end of the evaluation period to return the Product, any accompanying documentation and any materials developed by such customer relating to the Product, (ii) notify Echelon of any known breach of such Evaluation Agreement and (iii) provide Echelon with reasonable assistance in connection with the enforcement of such Evaluation Agreement, including, without limitation, granting Echelon full authority to proceed on Distributor's behalf. Echelon shall reimburse Distributor for its documented, pre-approved, out-of-pocket expenses incurred in connection with such assistance. Subject to the prior approval of Echelon, Distributor shall have the right to translate the Evaluation Agreement. Any such approval granted by Echelon shall be subject to the terms of Section 13 (e) above.
