The parties understand and agree that not all delays, causes of delay, or potential causes of delay are readily identifiable. Therefore, the parties agree that failure by BRISCNET to timely provide notice of delay to the Authority will not prejudice BRISCNET’s right to an extension of the Deployment Date, unless the Authority demonstrates that it was actually prejudiced by ▇▇▇▇▇▇▇▇▇’s late delivery of notice, or that failure to deliver timely notice was intentional or was due to BRISCNET’s gross negligence.
