DEPOSIT AND LOAN DATA. The amount, rate and accrued interest on Assumed Deposits and Purchased Loans as of January 31, 2012, and the past-due status of Purchased Loans as of January 31, 2012, and all other written or magnetically (or otherwise) recorded financial data and information, provided by, or to be provided by, Seller to Purchaser in connection with the transactions contemplated hereby was, or will be, complete and accurate in all material respects as of the date so provided based on Seller’s books and records and GAAP consistently applied.
