Common use of Depositary Certificate Clause in Contracts

Depositary Certificate. The Depositary shall have furnished or caused to be furnished to the Representatives a certificate satisfactory to the Representatives of one of its authorized officers with respect to the deposit with it of the Class A Ordinary Shares against issuance of the American Depositary Shares, the execution, issuance, countersignature and delivery of the American Depositary Shares pursuant to the Deposit Agreement and such other matters related thereto as the Representatives may reasonably request.

Depositary Certificate. The Depositary shall have furnished or caused to be furnished to the Representatives Representative a certificate satisfactory to the Representatives of one of its authorized officers reasonably satisfactory to the Representative with respect to the deposit with it the Depositary of the Class A Ordinary Shares against and the issuance of the American Depositary Shares, ADSs representing the execution, issuance, countersignature and delivery of the American Depositary Ordinary Shares pursuant to the Deposit Agreement to the DTC Participant Account and such other matters related thereto as the Representatives Representative may reasonably request.;

Depositary Certificate. The Depositary shall have furnished or caused to be furnished to the Representatives a certificate satisfactory to the Representatives of one of its authorized officers with respect to the deposit with it of the Class A Ordinary Shares against issuance of the American Depositary Shares, the execution, issuance, countersignature and delivery of the American Depositary Shares pursuant to the Deposit Agreement and such other matters related thereto as the Representatives may reasonably request.

Depositary Certificate. The Depositary shall have furnished or caused to be furnished to the Representatives a certificate satisfactory to the Representatives of one of its authorized officers with respect to the deposit with it of the Class A Ordinary Shares against issuance of the American Depositary SharesADSs, the execution, issuance, countersignature and delivery of the American Depositary Shares ADSs pursuant to the Deposit Agreement and such other matters related thereto as the Representatives may reasonably request.

Depositary Certificate. The Depositary shall have furnished or caused to be furnished to the Representatives a certificate satisfactory to the Representatives of one of its authorized officers with respect to the deposit with it of the Class A Ordinary Shares against issuance of the American Depositary SharesADSs, the execution, issuance, countersignature and delivery of the American Depositary Shares ADSs pursuant to the Deposit Agreement and such other matters related thereto as the Representatives may reasonably request.

Depositary Certificate. The Depositary shall have furnished or caused to be furnished to the Representatives a certificate satisfactory to certificate, dated such Closing Date, as the Representatives case may be, of one of its authorized officers with respect in form and substance satisfactory to the deposit Representatives, together with it signed or reproduced copies of such certificate for each of the Class A Ordinary Shares against issuance of the American Depositary Shares, the execution, issuance, countersignature and delivery of the American Depositary Shares pursuant to the Deposit Agreement and such other matters related thereto as the Representatives may reasonably requestUnderwriters.

Depositary Certificate. The Depositary shall have furnished or caused to be furnished to the Representatives Sole Representative a certificate satisfactory to the Representatives Sole Representative of one of its authorized officers with respect to the deposit with it of the Class A Ordinary Shares against issuance of the American Depositary Shares, the execution, issuance, countersignature and delivery of the American Depositary Shares pursuant to the Deposit Agreement and such other matters related thereto as the Representatives Sole Representative may reasonably request.

Depositary Certificate. The Depositary shall have furnished or caused to be furnished to the Representatives a certificate satisfactory to the Representatives of one of its authorized officers with respect to the deposit with it of the Class A Ordinary Offered Shares against issuance of the American Depositary Shares, the execution, issuance, countersignature and delivery of the American Depositary Shares pursuant to the Deposit Agreement and such other matters related thereto as the Representatives may reasonably request.
