Common use of Depositary’s Agents Clause in Contracts

Depositary’s Agents. The Depositary may perform its obligations under this Deposit Agreement through any agent appointed by it, provided that the Depositary shall notify the Company of such appointment and shall remain responsible for the performance of such obligations as if no agent were appointed. The Depositary shall use its reasonable efforts under the circumstances to consult with the Company prior to appointing any agent hereunder (other than those agents which, on the date hereof, are acting in an agency capacity for JPMorgan Chase Bank).

Depositary’s Agents. The Depositary may perform its obligations under this Deposit Agreement through any agent appointed by it, after consultation with the Company to the extent practicable in the case of an agent which, on the date hereof, is not acting in an agency capacity for JPMorgan Chase Bank, N.A., provided that the Depositary shall notify the Company of such appointment and shall remain responsible for the performance of such obligations as if no agent were appointed. The Depositary shall use its reasonable efforts under the circumstances to consult with the Company prior to appointing any agent hereunder (other than those agents which, on the date hereof, are acting in an agency capacity for JPMorgan Chase Bank).
