The Derivative Information clause defines the rules and obligations regarding information that is derived from or based on original confidential or proprietary data. Typically, this clause clarifies whether such derivative information—such as analyses, summaries, or reports created using the original data—remains subject to the same confidentiality restrictions as the source material. By specifying the treatment of derivative information, the clause ensures that parties cannot circumvent confidentiality obligations by transforming or reformatting the original data, thereby maintaining the intended protection of sensitive information.
Derivative Information. The Disclosing Party will use its reasonable efforts to follow its customary practices regarding the marking of tangible Proprietary Information as (confidential), (proprietary) or other similar designation. The Parties agree that the designation in writing by the Disclosing Party that information is confidential or proprietary shall create a presumption that such information is confidential or proprietary to the extent such designation is reasonable.
Derivative Information. 3.1.4.1 You must have eBay’s express written permission to use or display eBay Content in any way that enables derivation of any of the following information:
3.1.4.1.1 Any site-wide statistics across eBay Sites or within any eBay Site;
3.1.4.1.2 Take-up rates for enhanced listings (for example, gallery, featured, category featured, etc.);
3.1.4.1.3 The gross merchandise sales of any eBay Sites or services, or other statistics relating to the performance (financial or otherwise) of any eBay Site or service; or
3.1.4.1.4 Average selling price or gross merchandise sold for any eBay category.
3.1.4.2 You must have eBay’s express written permission to use or display eBay Content in any way that enables derivation of the following information (other than an Authenticated eBay User’s access to his or her own information):
3.1.4.2.1 Information relating to specific eBay Users or types of eBay Users;
3.1.4.2.2 Conversion, completion or success rates; or
3.1.4.2.3 Reserve auction information.
Derivative Information. “Derivative Information” means, collectively, (i) information derived or generated from or based on Customer Personal Data, but not containing Customer Personal Data, (ii) Customer Personal Data which has been de-identified or anonymized so that it no longer identifies a specific individual or Customer; and, (iii) Customer Personal Data which has been aggregated with other data but which no longer identifies a specific individual or Customer. Derivative Information will be owned solely by TRUCE. During this Agreement and after any expiration or termination TRUCE may create and use Derivative Information solely internally for TRUCE’s business purposes without a duty of accounting to Customer, such purposes including, but not limited to, (a) to create, test, train, and inform algorithms, machine learning and product automation; (b) to create, train, and test machine learning models for tax preparation and verification automation and quality detection, and (c) to develop, create, extract, compile, synthesize, analyze and commercialize statistics, analytics, metrics, reports, benchmarks, measures and other information, and (d) to improve or develop trained models, products or services.
