Common use of Designation of Additional Issuing Banks Clause in Contracts

Designation of Additional Issuing Banks. From time to time, the Company may by notice to the Administrative Agent and the Lenders designate as additional Issuing Banks one or more Lenders that agree to serve in such capacity as provided below; provided that no Lender shall be designated as an Issuing Bank if, after giving effect to such designation, there would be more than four Issuing Banks in addition to the number of Issuing Banks on the Closing Date. The acceptance by a Lender of any appointment as an Issuing Bank hereunder shall be evidenced by an Issuing Bank Agreement, which shall state whether such Lender is to be a US Issuing Bank or a Canadian Issuing Bank and be executed by such Lender, the Company and the Administrative Agent, and from and after the effective date of such agreement, (i) such Lender shall have all the rights and obligations of a US Issuing Bank or a Canadian Issuing Bank, as the case may be, under this Agreement and the other Loan Documents and (ii) references herein and in the other Loan Documents to the term “US Issuing Bank” or “Canadian Issuing Bank” shall be deemed to include such Lender in its capacity as a US Issuing Bank or Canadian Issuing Bank, as applicable.

The acceptance by a Lender of any appointment as an a Global Tranche Issuing Bank or Canadian Tranche Issuing Bank hereunder shall be evidenced by an agreement (an “Issuing Bank Agreement”), which shall state whether such Lender is be in a form satisfactory to be a US the Company and the General Administrative Agent and, in the case of an Issuing Bank or a under the Canadian Issuing Bank Tranche, the Canadian Administrative Agent, and shall be executed by such Lender, the Company Company, the General Administrative Agent and the Canadian Administrative Agent, and from as applicable. From and after the effective date of such agreement, (i) such Lender shall have all the rights and obligations of a US Global Tranche Issuing Bank or a Canadian Tranche Issuing Bank, as the case may be, under this Agreement and the other Loan Documents and (ii) references herein and in the other Loan Documents to the term “US Global Tranche Issuing Bank” or “Canadian Tranche Issuing Bank”, as applicable, shall be deemed to include such Lender in its capacity as a US Global Tranche Issuing Bank or Canadian Tranche Issuing Bank. The Issuing Bank Agreement of any Issuing Bank may limit the currencies in which and the Borrowers for the accounts of which such Issuing Bank will issue Letters of Credit, and any such limitations will, as to such Issuing Bank, as applicablebe deemed to be incorporated in this Agreement.
